Terms & conditions
The terms that apply when you use this website and when you work with Floux.
Effective date: 10 October 2026
1. About these terms
These terms are an agreement between you and Floux for Web Solutions LLC, trading as Floux, a company registered in the Isle of Man under commercial registration number 000890B and tax registration number C3367542-34, with its registered office (headquarters) at 49G4+X31, Castletown, Isle of Man. Floux also works from offices in Smart Village, Egypt, and Boulevard Plaza, Dubai, United Arab Emirates, and with team members and clients in many other countries ("Floux"). Part A applies to everyone who uses this website. Part B applies to clients who accept a Floux proposal, quote or statement of work (together, a "Proposal"). If a Proposal and these terms conflict, the Proposal wins for that project.
Part a. Using this website
You may browse and share our pages for personal or business information. You may not copy our designs, text, code or images for commercial use, attempt to break or overload the website, or use it to send spam or unlawful content. Information on this website, including prices and timelines, is general and becomes binding only in a written Proposal. We may change or withdraw content at any time.
2. Quotes and proposals
Every project starts with a written Proposal that sets out the scope, deliverables, timeline, price and payment stages. Proposals are valid for 30 days. The fixed price covers the agreed scope; anything outside it is a change request (see section 6). A project starts when you accept the Proposal in writing and we receive the first payment.
3. Your responsibilities
- Provide content, feedback, approvals and access on time, usually within 5 business days of a request.
- Make sure you own or have licences for the text, images, logos and data you give us, and that they are lawful.
- Name one decision-maker for approvals.
- Keep your own copies of content you send us.
4. Timelines
Timelines in a Proposal, such as 7 to 14 days for a small business website, assume timely feedback and complete content. If we wait for content, approvals or access, the timeline moves by the same amount. If a project is paused by the client for more than 30 days, we may invoice work completed to date and reschedule the remaining work.
5. Approvals
We share work at agreed stages: sitemap and wireframes, design, then the built website on a staging link. Your written approval of a stage, or using the work publicly, means that stage is accepted. Later changes to an approved stage are change requests.
6. Revisions and change requests
Each Proposal states the number of revision rounds included. Extra rounds, new pages, features or content outside the agreed scope are quoted separately, and we only start them after you approve the extra cost and any change to the timeline.
7. Fees and payment
- Unless the Proposal says otherwise, website and branding projects are paid 50% on acceptance and 50% before the website goes live or final files are delivered.
- Monthly services such as maintenance, SEO, social media and ads management are invoiced monthly in advance.
- Invoices are payable within 7 days in the currency stated on the Proposal (EGP, USD or EUR). Bank and transfer fees are paid by the sender.
- Prices exclude value added tax and other taxes, which are added where the law requires.
- If payment is more than 14 days late, we may pause work and support until it is received.
8. Third-party costs
Domains, hosting, premium plugins or themes, stock media, paid tools and advertising budgets are not included unless the Proposal says so. They are bought in your name or paid directly by you, and are subject to the third party's own terms. Advertising budgets are paid by you directly to the platforms such as Google, Meta, TikTok or Snapchat.
9. Ownership and intellectual property
When you have paid in full, you own the final website, designs, logos and content we created specifically for you, and we transfer the related files and admin access to you. Until full payment, Floux keeps ownership and grants you a limited licence to review the work.
We keep ownership of our pre-existing tools, code libraries, templates and know-how, and grant you a permanent, royalty-free licence to use them as part of your project. Open-source software such as WordPress and third-party plugins remain subject to their own licences.
Unless you ask us not to in writing, we may show the finished work and your company name in our portfolio and marketing.
10. Confidentiality and data protection
Both parties keep the other's confidential information private and use it only for the project. When we process personal data on your behalf, we act as your processor as described in our Privacy Policy, and we will sign a data processing agreement on request. You are responsible for your own website's privacy policy and legal notices unless the Proposal includes them.
11. Support and warranty
Every website includes the support period stated in the Proposal, normally 12 months from launch. During this period we fix defects in the work we delivered at no cost. Support does not cover new features, content updates beyond the agreed allowance, problems caused by changes made by you or other developers, hosting failures, third-party plugin or platform changes, or security incidents caused by weak passwords or unapproved software. These can be covered by a maintenance plan.
12. Marketing, SEO and advertising services
Search rankings, AI assistant answers, social media reach and advertising results depend on platforms and competitors we do not control, so we do not guarantee specific positions, traffic, leads or sales. We do commit to the work, reporting and targets agreed in the Proposal. Ad and analytics accounts are created in your name and remain yours. You are responsible for the claims made in your offers and for complying with each platform's advertising policies.
13. Ending a project or monthly service
You may end a project at any time in writing; you then pay for work completed and costs committed up to that date, as explained in our Refund & Cancellation Policy. Monthly services can be cancelled with 30 days' written notice. Either party may end the agreement immediately if the other seriously breaches it and does not fix the breach within 14 days of notice.
14. Limitation of liability
Nothing in these terms limits liability that cannot legally be limited, such as liability for fraud or gross negligence. Otherwise, Floux is not liable for indirect or consequential loss, including lost profits, revenue, data or business opportunities, and our total liability for any project is limited to the fees you paid for that project in the 12 months before the claim.
15. Force majeure
Neither party is liable for delays caused by events outside its reasonable control, such as internet or power outages, platform failures, government action, war, natural disasters or epidemics. Deadlines move for the length of the event.
16. Governing law and disputes
These terms are governed by the laws of the Isle of Man. We will first try to resolve any dispute through good-faith discussion within 30 days. If that fails, the dispute is settled exclusively by the courts of the Isle of Man.
If you are a consumer in the EU, the UK or Canada, you keep any mandatory rights the law of your country gives you.
17. General
These terms, together with the Proposal, are the whole agreement about the project. If any part is found unenforceable, the rest remains valid. We may update these terms for future projects; the version in force when you accepted your Proposal applies to that project. Questions: contact@floux.net.
